Co-operatives UK model rules for co-operatives

All new co-operatives will need a governing document which lays out what the co-operative is going to do, by whom and in what way. Model rules are template governing documents which can be used by new organisations to make sure that they start off on the right legal footing.

Company

Society

  • A community benefit society registered with this model version may engage in any lawful activity, including trading.

  • This model will be suitable for an organisation which is owned and controlled democratically by a variety of stakeholders, that wish to work together to achieve their shared interests.

  • This model is for a co-operative which provides services to its own members, who may be individuals, small businesses, voluntary organisations or others – who are generally referred to as ‘users’.

  • This model will be suitable for an employee-owned co-operative trading in any type of business. The model allows for members to invest in the co-operative through the purchase of shares.

Unincorporated

  • This model constitution is for an unincorporated co-operative.  It is suitable for all different types of co-operative and includes different options to choose from with regards the membership criteria and make up of the governing body.
